Terms of Service

These Terms of Service ("Terms") govern your access to and use of freyt, operated by Freyt ("freyt", "we", "us"). By creating an account or using the product, you agree to be bound by these Terms and our Privacy Policy. If you're accepting these Terms on behalf of a company, you represent you have authority to bind that company.
1. Definitions
- "Service" — the freyt web app, API, email ingestion, and related tools.
- "Customer Data" — documents you upload or forward, and the shipment data extracted from them.
- "Authorized User" — anyone you permit to access the Service under your account.
- "Subscription" — your paid access plan (Starter, Pro, or Team).
2. The service
Freyt extracts structured data from rate confirmation documents and exports it to the carrier or TMS formats you select. Extraction is automated and, while we target high accuracy, no automated extraction system is error-free. You are solely responsible for reviewing all extracted data before acting on it — including before dispatching a load, paying an invoice, or submitting data to a TMS. Freyt accelerates data entry; it does not replace human review.
3. Eligibility
You must be at least 18 and able to form a binding contract in your jurisdiction. The Service is intended for freight brokers, carriers, shippers, and dispatchers in the ordinary course of business.
4. Your account
- You must provide accurate signup information and keep it current
- You're responsible for activity under your account and credentials — notify us immediately at security@freyt.space if you suspect unauthorized access
- One account per company seat unless your plan states otherwise; Team plans may add Authorized Users up to their seat limit
- Accounts may not be transferred or sold without our written consent
5. Acceptable use
You must not, and must not permit others to:
- Process documents you don't have the right to use, or that contain third-party data you're not authorized to share with a cloud service
- Reverse-engineer, decompile, or attempt to derive the extraction models
- Access the Service through unauthorized automated means, or exceed the usage limits of your plan
- Probe, scan, or attempt to bypass security features
- Resell, sublicense, or white-label the Service without our written agreement
6. Intellectual property
The Service, including its software, models, and branding, is owned by freyt and protected by applicable IP law. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during your Subscription — nothing more. You retain full ownership of your Customer Data; we don't claim rights over your documents or extracted output.
7. Billing
Subscriptions renew automatically each billing period at the then-current rate until cancelled. We'll give at least 30 days' notice of any price change before it applies at your next renewal. Downgrades and cancellations take effect at the end of the current billing cycle — you keep access through the period you've paid for. Fees are refundable within 7 days under our Refund & Cancellation Policy; outside that window, fees are non-refundable except where required by law. If a payment fails and isn't resolved within 10 days, we may suspend access until it's made current.
8. Free trials
New accounts get a 7-day free trial — no card required. Nothing is charged automatically; at the end of the trial you choose whether to subscribe. Creating multiple trial accounts to circumvent this is a violation of these Terms.
9. Uptime & support
We target 99.5% monthly uptime, excluding scheduled maintenance and events outside our reasonable control, but don't guarantee uninterrupted service. Support response targets vary by plan: Starter gets email support within 1 business day, Pro gets same-day priority email, and Team gets a dedicated Slack channel with a 4-hour target — see the pricing page for full details.
10. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that extracted data will be fully accurate.
11. Limitation of liability
To the maximum extent permitted by law, freyt is not liable for indirect, incidental, or consequential damages arising from use of the Service — including errors in extracted data that you did not verify before use. Our total liability to you for any claim in a 12-month period is limited to the greater of the fees you paid us in the preceding 3 months, or US$100.
12. Indemnification
You agree to indemnify and hold freyt harmless from claims arising from your violation of these Terms, your unlawful use of the Service, or Customer Data you submit that infringes third-party rights.
13. Termination
You can cancel any time from your account settings. We may suspend or terminate accounts that violate these Terms, have unresolved payment failures, or pose a security risk to the platform. On termination you'll have 30 days to export your data, except where termination is for cause.
14. Disputes & governing law
These Terms are governed by the laws of the State of Delaware. Before filing a claim, contact legal@freyt.space so we can try to resolve it informally. Unresolved disputes are settled by binding arbitration under JAMS Streamlined Rules in Wilmington, Delaware; class actions are waived. Either party may still seek emergency injunctive relief in court.
15. Changes
We may update these Terms as the product evolves. For material changes, we'll notify you by email or in-app notice at least 14 days before they take effect. Continuing to use the Service after that date means you accept the change; if you don't, you can cancel before it takes effect for a pro-rated refund of any prepaid period it affects.
